Electronic Contract Approval Term Sheet (eCATS)

- Assess the legality of agreements prior to execution or provision of goods or services.

- What if the contract requires revisions after the eCATS package has been approved?
    - Requires Operations Counsel approval and retention of additional supporting documentation in eCATS
    - Generally the eCATS package does not need to be re-submitted if there is not an increase in total compensation
- Can a Non-Referral Source arrangement allow for an automatic renewal clause for an indefinite period of time?
    - The standard Non-Referral Source arrangement term is for three and not to exceed five years, automatic renewal clauses are discouraged by the Law Department. 

- Referral source arrangements with Physicians for personal services are to be reviewed in eCATS by the Tenet Entity CFO to determine if the Entity already has one or more active agreements with the same physician.
    -   If yes, the proposed arrangement is to be reviewed along with the other active agreements with the same physician.
        -   All payments across all contracts are consistent with fair market value;
        -   There is a commercial need for the physician to provide services as proposed;
        -   It is reasonable to expect that the physician can fulfill the duties and responsibilities of all agreements within a reasonable work week and
        -   The duties performed under the proposed arrangement are not paid in connection with a different contract.
